In consideration of the necessary of disclosing confidential information each other in the process of the cooperation of CHB071-eAD project,promoting the cooperation between both parties,clearing the confidential responsibilities of both sides,the two parties consulted on equal footing,signing this agreement to abide by it.
Article 1 Explanations of relevant terms
保密资料：1）为协议双方约定目的或涉及约定目的所在领域由披露方向获取方提供的一切装置、图表、书面资料、源程序、数据或者其它以各种有形载体记录的资料；2)其它通过口头或视觉披露 且在披露时经披露方明示该资料为保密的 并在通过口头或视觉披露后三十日内（包括30日）以有形载体记录、标明“保密”字样并交于获取方的，则也认定为该资料是保密资料。
Cofidential information shall mean 1)all equipments,charts,written materials,source programs,data or other materials which saved by visible carriers,2)other materials which had been disclosed in oral or visible form,and the disclosing party had noticed that this material is confidential when it had been disclosed, and after it’s oral or visible disclosure this material had been saved in visible form,marked by ‘cofidential’,given to receiving party within 30days(including 30days).
保密期限：经协议双方协商，约定获取方在该期限内不得向任何第三方透露其所获取的对方的保密资料，且不得将获取的保密资料用于协议双方约定目的以外的任何目的。
Period of the confidentiality shall be discussed by two parties,and shall be agreed that within this period,the receiving party shall not disclose confidential information to any third party,and shall not use the confidential information for any purpose other than this agreement.
披露方：应指在基于本协议目的披露保密资料的一方。
Disclosing party means the party which disclose confidential information based on the purpose of this agreement.
获取方：应指在基于本协议目的获取保密资料的一方。
Receiving party means the party which receive confidential information based on the purpose of this agreement.
本协议中的协议一方或协议另一方基于本协议既可能是披露方，也可能是获取方。
The two parties in this agreement can be the disclosing party or the receiving party based on this agreement.
第二条 保密期限
Atricle 2 period of the confidentiality
本协议项下保密资料的保密期限为自本协议签订生效之日起10年。
The period under this agreement shall be 10years from the date of this agreement to be signed.
第三条 保密资料的范围
Article 3 Range of confidential information
本协议中保密资料涉及到的范围是：协议双方在合作过程中相互披露的 技术资料 及与合作项目相关的其他信息和资料。
The range of confidential information in this agreement shall be the technical data and other information related with this cooperation project that disclosed by each other.
不属于保密资料的范围：
The information which did not include in the confidential range.
1. 在获取方与披露方签署本协议之前，获取方已经合法拥有的信息；
1.The information which belonged by receiving party before the subscription of this agreement.
2. 在本协议签署之时已经进入公共领域，或本协议签署之后并非由于获取方的原因而进入公共领域的信息；
2.The information which had been included in general area when this agreement signed ,or included in general area after the subscription that do not caused by the receiving parties.
3. 在收到获取方发出的不再接受任何保密信息的书面通知后，披露方向获取方发出的信息；
3.The information which sent to receiving party from disclosing party after received the written notice made by receiving party of do not accept any confidential information.
4.在没有违背本协议或披露方与某一第三方所签订的任何协议的情况下，获取方从该第三方合法取得的信息；
4.The information which acquired by the receiving party legally from the third party and did not against this agreement or other agreement made by the receiving party and any third party.
5.由获取方的雇员在没有接触到或收到本协议的任何保密信息的情况下独立开发的信息；
5. The information which developed alone by the staff of receiving party who do not contact or receive any confidential information of this agreement.
第四条 协议双方的义务
Article 4 The obligations of two parties
1．在保密期限内，获取方应对披露方向其所披露的及协议双方以任何形式所接触到的对方的保密资料负有保密责任，协议双方的所有职工不论是否直接参与项目，均有保密义务。
In the period of confidentiality,the receiving party shall take the confidential responsibility of all confidential information that disclosed by or contacted by two parties in any ways,
2．协议双方应将保密资料的传播限制在为了协议双方约定目的需要知晓该保密资料的人员中，且不得将获取的保密资料用于协议双方约定目的以外的任何目的。
2.The spread of confidential information should be limited by two parties in the person who need to know this information for the purpose which had been agreed in this agreement.The information received should not be used for any purpose other than this agreement.
3．获取方保证未经披露方的书面授权，不得将保密资料以任何形式披露给任何第三方。
3.The receiving party shall not disclose the confidential information to any third party in any ways with the written consent of the disclosing party.
4．在合作双方完成合作事项后，获取方应根据披露方的要求，将保密资料归还或销毁。
4.After the corporation matters had been done,the receiving party shall return or destroy the confidential information as regard to the requirement of the receiving party.
第五条 复制与归还
Article 5 Copy and Return
披露方披露给获取方的保密资料不得复制。特殊情况下，经披露方书面同意，获取方可以对披露方所披露的保密资料进行少量的复制，但这种书面同意可以随时撤销。如书面同意撤销，则披露方要求获取方立即归还保密资料的复制件时，获取方应立即归还。
Confidential information that disclosed by disclosing party shall not be copied.In special circumstance,receiving party could do a little copy from the disclosed confidential information when the disclosing party approved it in writing , but this approvement can be canceled at any time.The receving party should return the copy of confidential information immediately,when the disclosing praty requied and the approvement had been canceled.
第六条 违约责任
Article 6 Liability for Breach of Agreement
发生以下情况时，获取方应承担违约责任：
The receving party should take responsibility of the breach,when the circunstances occurred as below.
1．获取方及获取方的员工、代理人、律师等未经披露方的书面同意擅自向第三方泄漏的；
1.The receving party and the staff ,agent,lawyer of the receving party disclosed information to the third party without the written approvemet of disclosing party.
2. 本协议未约定的获取方其他行为泄露本协议所约定的保密资料的；
2.Other deeds that the receving party did to disclose the confidential information that had agreed in this agreement.
3. 获取方违反本协议第四条对获取方所负义务的约定的；
3.The receving party breached the agreement about the obligations of the receving party in Article 4.
出现上述情况时，获取方应立即停止其行为并采取措施避免损失的扩大，同时，获取方赔偿披露方因此所遭受的全部经济损失，且披露方有权追究获取方的法律责任。
The receiving party should stop it’s deed immediately and take actions to avoid the losses widened when the circunstances above occurred,and indemnify all economic losses resulting from its default.The disclosing party reserves the right of claim legal responsibility of the receiving party.
第七条 知识产权
Article 7 Intellectual Property
在协议双方合作前及合作过程中，披露方以各种方式向获取方披露的 及获取方以任何形式所接触到的披露方的 所有保密资料的 知识产权 归披露方单独所有.
In the cooperation of two sides, the lntellectual property of all confidential information that disclosed by disclosing party or contacted by receving party shall belong to disclosing party alone.

第八条 争议解决
Article 8 Dispute resolutions
本协议受中华人民共和国法律管辖，协议双方在履行本协议或对本协议的条款发生争议时，协议双方应通过友好协商解决，协商不成的，均由长城汽车股份有限公司所在地具有管辖权的人民法院诉讼解决。
This agreement is under the jurisdiction of laws of the People’s Republic of China.If there is a dispute on implemention of this agreement,both sides shall settle it through friendly consulation,or would be settled by litigation in the People’s Court which has the jurisdiction in the location of Great Wall Automobile Co.,Ltd,when cosulation failed
第九条 本协议一式两份，协议双方各持一份，具有同等的法律效力。
Article 9 This agreement shall be held in two copies of the same form.Each party shall preserve one copy with equal legal effect.
第十条 本协议自协议双方的授权代表签字并盖章时生效。
Article 10 This agreement will come into effect since being signed and sealed by both parties.
第十一条 未尽事宜由协议双方协商解决，经协议双方书面同意可以对本协议的条款进行修改和补充，修改补充条款与本协议有同等法律效力。
Article 11 The issues that did not written in here shall be sloved by negotiation between two parties.Through written agreement made by two parties,the revision and addition shall be done in this agreement.The additional aticle has equal legal effect with this agreement.
