第一条 供应品种及数量
Article 1 Types and Quantity of Supply
1.1 甲方向乙方供应的产品种类包括水、电、燃气，具体品种、规格和数量详见附件一；
1.2 乙方有权根据实际需求提出供货要求，甲方应根据乙方的需求及时供应产品。
1.3 如果乙方需要增加或减少供应的产品种类、规格或数量，应在书面形式上通知甲方，经双方协商后可进行调整。
1.4 附件一：供应品种及数量表
1.5 The types of products supplied by Party A to Party B include water, electricity, and gas, with specific varieties, specifications, and quantities detailed in Appendix One;
1.6 Party B has the right to submit supply requests based on actual needs, and Party A shall supply products in a timely manner according to Party B's requirements.
1.7 If Party B needs to increase or decrease the types, specifications, or quantities of supplied products, Party B shall inform Party A in written form, and adjustments can be made after negotiation between both parties.
1.8 Appendix One: Table of Types and Quantities of Supply
第二条 供应时间及地点
Article 2 Supply Time and Location
2.1 供应时间：甲方应根据双方商定的供应计划，按时提供水、电、燃气产品，确保乙方生产、生活的正常进行；
2.2 供应地点：甲方应将产品送至乙方指定的交货地点，如遇特殊情况，应提前书面通知乙方。
2.3 如因甲方原因无法按时供应产品，应提前至少三个工作日通知乙方，并负责解决由此造成的损失。
2.4 Supply Time: Party A shall provide water, electricity, and gas products on time according to the agreed supply plan, ensuring the normal production and daily life of Party B;
2.5 Supply Location: Party A shall deliver the products to the designated delivery location of Party B. In case of special circumstances, Party A shall notify Party B in writing in advance.
2.6 If Party A is unable to supply products on time due to its own reasons, Party A shall notify Party B at least three working days in advance and be responsible for resolving any losses caused thereby.
第三条 供应价格及结算方式
Article 3 Supply Price and Payment Method
3.1 供应价格：产品的供应价格按照双方签订的价格协议执行，价格调整应提前30天书面通知对方；
3.2 结算方式：乙方应按照约定时间和供货数量支付产品的货款，甲方应提供相应的发票和结算单据。
3.3 如乙方拖欠货款超过30天，甲方有权暂停或终止供应，并要求支付逾期付款的滞纳金。
3.4 Supply Price: The supply price of the products shall be implemented according to the price agreement signed by both parties, and any price adjustments shall be notified to the other party in writing 30 days in advance;
3.5 Payment Method: Party B shall pay for the products in accordance with the agreed time and quantity of supply, and Party A shall provide corresponding invoices and settlement documents.
3.6 If Party B delays payment for more than 30 days, Party A has the right to suspend or terminate the supply, and demand payment of late payment surcharges.
第四条 质量保证及售后服务
Article 4 Quality Assurance and After-sales Service
4.1 甲方应确保供应的产品符合国家标准和行业标准，保证产品质量，如出现质量问题，应负责退换货或补偿损失；
4.2 乙方应在收到产品后立即检验，如发现产品存在质量问题，应当在收货后24小时内书面通知甲方，并提供相关证据进行协商处理。
4.3 甲方应提供供应产品的技术支持和售后服务，确保产品运转正常、安全和稳定。
4.4 Party A shall ensure that the products supplied meet national standards and industry standards, guarantee the quality of products, and be responsible for returns, replacements, or compensation for losses in the event of quality issues;
4.5 Party B shall inspect the products immediately upon receipt. If any quality issues are found, Party B shall notify Party A in writing within 24 hours of receipt and provide relevant evidence for negotiation and resolution.
4.6 Party A shall provide technical support and after-sales service for the supplied products to ensure their normal, safe, and stable operation.
第五条 违约责任
Article 5 Liability for Breach of Contract
5.1 任何一方违反合同约定，导致供应中断或造成损失的，应对对方承担相应的违约责任；
5.2 如因不可抗力因素导致供应中断，一方应立即通知对方，并提供证明文件，双方协商处理。
5.3 违约方需承担由此产生的损失，并在合理范围内协助对方恢复受损状态。
5.4 If either party breaches the contract, resulting in supply interruption or losses, they shall bear corresponding liability for breach of contract towards the other party;
5.5 In case of supply interruption due to force majeure, one party shall immediately notify the other party and provide proof. Both parties shall negotiate and resolve the matter.
5.6 The defaulting party shall bear the resulting losses and assist the other party in restoring the damaged state within a reasonable range.
第六条 保密条款
Article 6 Confidentiality Clause
6.1 双方在履行合同过程中可能涉及到的商业秘密、技术信息、财务数据等应当属于保密范围，未经对方同意不得向第三方透露；
6.2 合同终止后，双方应归还或销毁相互授权提供的机密信息和资料，避免信息外泄。
6.3 The commercial secrets, technical information, financial data, etc., that may be involved in the performance of the contract shall be confidential and shall not be disclosed to a third party without the other party's consent;
6.4 After the termination of the contract, both parties shall return or destroy the confidential information and materials provided by the other party to prevent information leakage.
第七条 合同解除
Article 7 Termination of Contract
7.1 合同期满时，如双方愿意继续合作，可协商签订新合同，否则本合同自动终止；
7.2 如遇下列情形之一，任何一方有权解除合同：
（1）一方未按时履行合同义务，经催告后仍未履行；
（2）一方严重违反合同约定，严重影响对方利益；
（3）双方通过协商一致解除合同。
7.3 Termination of Contract:
7.4 (1) If either party fails to fulfill its contractual obligations on time and still does not do so after being urged;
7.5 (2) If either party seriously violates the contract, severely affecting the interests of the other party;
7.6 (3) The contract may be terminated by mutual agreement through negotiation.
第八条 争议解决
Article 8 Dispute Resolution
8.1 合同履行过程中如发生争议，双方应通过友好协商解决；协商不成的，可依法向当地人民法院提起诉讼。
8.2 如因合同解释、履行等产生争议，可采取调解、仲裁等方式解决。
8.3 In the event of a dispute during the performance of the contract, the two parties shall resolve it through friendly negotiations; if negotiations fail, they may file a lawsuit with the local people's court in accordance with the law.
8.4 Disputes arising from contract interpretation, performance, etc., may be resolved through mediation, arbitration, etc.
第九条 附则
Article 9 Supplementary Provisions
9.1 本合同自双方盖章生效，有效期为【XX】年；

9.3 若合同内容与附件不一致，以合同正文为准；本合同未尽事宜，双方另行协商确定。
