PROFESSIONAL SERVICES AGREEMENT
专业服务协议

This Professional Services Agreement (“Agreement”) is entered into this 5 day of 5 , 20 15 (“Effective Date”), by and between 申请人子公司名称 and Xx Inc. (“Subcontractor”), located at 居家看护服务点地址 for professional and related services to be provided to 申请人子公司名称 by Subcontractor subject to the terms and conditions of this Agreement.
本专业服务协议（“协议”）签署于20 15 年 5 月 5 日（“生效日期”），签约双方为 申请人子公司名称 和 Xx Inc.（“分包商”），其地址位于 居家看护服务点地址 ，本协议涉及分包商根据本协议的条款和条件向 申请人子公司名称 提供专业及相关服务。

1. Scope of Services: Transcription

2. Terms of Agreement: This Agreement shall commence on the Effective Date and, unless otherwise terminated as provided herein, shall remain in effect for five years and shall automatically renew for additional one (1) year periods unless a party provides the other with at least thirty (30) days prior written notice of its intention not to renew.

2. 协议期限：本协议应从生效日期开始生效，且除非按照本协议的规定另行终止，否则有效期应为五年，且除非一方向另一方发出至少提前三十（30）天的事先书面通知，表示不愿续约，否则本协议应自动续约额外的一（1）年。

3. Time Devoted by Subcontractor: It is anticipated the subcontractor will perform services for company on an as needed basis. The particular amount of time may vary due to the cyclical nature of the Company’s business, the availability and proficiency of the Subcontractor.

3. 分包商投入的时间：预计分包商将按需为公司提供服务。由于公司业务的周期性、分包商是否有空及熟练程度问题，具体时间量可能有所不同。

4. Place Where Services Will Be Rendered: The Subcontractor will perform most services in accordance with this contract at a commercially zoned office.

5. Billing and Fees: The Subcontractor will submit an itemized statement setting forth the services rendered. Subcontractors is free to expense all operational costs and will considered any work paid in full during the five year management period.

5. 记账及费用：分包商将提交一份逐项列明的清单，列明提供的服务。在五年的管理期间，分包商可自由支出所有经营成本，并将视为任何工作已被全额付款。

6. Subcontractor agrees that in a time frame of 2years,Subcontractor will achieve the equivalent of at least 5 RCFE under the management/ownership onbehalf of the 申请人子公司名称 .

7. The Subcontractor shall operate 申请人子公司名称 under legitimate
circumstances. In the duration of operation, The Subcontractor shall not
conduct any of such activity which objects to the interest of 申请人子公
司名称 , as loan in the name of 申请人子公司名称 , provision of
guaranty for external obligations, or engagement in illegal matters. In the
term of trusteeship, any costs incurred (involving employees taxes and
charges, welfare, administrative expenses, corporate taxes and charges,
workplaces fee, etc), deficit, legal liability and thereof, shall be undertaken
by the Subcontractor.

7. 分包商保证合法地营运 申请人子公司名称 ，在此期间，不能做出任何有损 申请人子公司名称 利益的事情，不能以 申请人子公司名称 的名义借贷，不能对外担保，不得从事任何违法事宜。在托管期间所产生的所有的费用（包括员工税费、福利、行政费用、公司税费及办公场所费用等）、亏损及法律责任等，均由分包商承担。

8. Independent Contractor: Both the Company and the Subcontractor agree that the Subcontractor will act as an independent contractor in the performance of its duties under this contract. This Agreement shall not constitute or be construed as a partnership, employer-employee relationship, franchisee-franchisor relationship, joint venture or agency agreement between the parties. Subcontractor shall have the right to enter into agreements with other clients provided such agreements do not adversely impact Subcontractor’s performance under this agreement.

Accordingly, the Subcontractor shall be responsible for payment of all taxes including Federal, State and local taxes arising out of the subcontractor's activities in accordance with this contract, including by way of illustration but not limitation, Federal and State income tax, Social Security tax, Unemployment Insurance taxes, and any other taxes or business license fee as required.

In addition, because you are representing yourself to 申请人子公司名称 as an independent contractor and the parties believe they are creating an independent contractor relationship, if at a later date, the IRS, EDD, or any other taxing authority determines your classification as an independent contractor was incorrect, you agree to indemnify 申请人姓名以及申请人子公司名称 for all taxes, interest, and penalties paid by Xx Inc.as a result of a reclassification of your employment status.

No work accepted by the subcontractor can then be subcontracted out to another individual or overseas to an individual or overseas agency/service.

8. 独立承包商：公司和分包商同意，分包商将在根据本合同履行其职责过程中作为一名独立承包商。本协议不应构成或被理解为一项合伙、雇主/雇员关系、特许经营关系、合资关系或双方之间的代理协议。分包商将有权与其他客户签署协议，但此类协议不得对分包商根据本协议的履约产生不利影响。

因此，分包商应负责支付由于分包商根据本合同采取的行动而产生的所有税金，包括联邦、州及地方税金，具体包括但不限于联邦和州的所得税、社会安全税、失业保险税、及任何其他税金或要求的营业执照费。

此外，因为您对于 申请人子公司名称 而言是独立承包商，且双方确信他们之间建立了独立承包商关系，如果此后，IRS、EDD或任何其他税务机关确定将您归类为独立承包商是不正确的，您同意向 申请人姓名以及申请人子公司名称 赔偿中国驻美国的子公司由于重新归类您的雇佣身份而支付的所有税金、罚息、及罚金。

分包商接受的任何工作不得被分包给其他个人或分包给海外的个人或海外机构。

9. Confidential Information: The Subcontractor agrees that any information received during any furtherance of the subcontractor's obligations in accordance with this contract, which concerns the personal, financial or other affairs of the Company will be treated by the subcontractor in full confidence and will not be revealed to any other persons, firms or organizations.

The Subcontractor will use best efforts and reasonable diligence to:

(a) Use such Confidential Information only for internal business purposes;

(b) Protect supplied Confidential Information in the same manner as the Subcontractor protects its own Confidential Information;

(c) Not make copies of any such Confidential Information or any part thereof without the written consent [permission] of the Company;

(d) Not disclose to others any such Confidential Information or any part thereof without the written consent [permission] of the Company;

(e) To reasonably limit dissemination of such Confidential Information to persons within the Company organization who have a need to know or utilize such Confidential Information.

9. 保密信息：分包商同意在根据本合同履行分包商义务的过程中收到的涉及公司的个人、财务或其他事务的任何信息将被分包商完全保密，且将不会泄露给任何其他人员、公司或组织。

分包商将尽力并合理尽职地：

(a) 仅为了内部商业目的使用此类保密信息；

(b) 以分包商保护其自身保密信息的相同方式保护提供的保密信息；

(c) 未经公司书面同意【准许】，不复制任何此类保密信息或其任何部分；

(d) 未经公司书面同意【准许】，不将任何此类保密信息或其任何部分披露给其他人；

(e) 合理限制仅将此类保密信息透露给公司组织内部需要知晓或利用该保密信息的人员。

10. Absent a separate written agreement regarding ownership, in entering this agreement, you hereby grant to Xx Inc.all rights, titles and interest in the works conceived or first produced by Xx Inc. or its clients and any material produced by you or your employees under this Agreement, and you agree that such materials are “works made for hire” exclusively for Xx Inc. or its clients under the copyright laws of the United States.

In the event that any such work shall not be a work made for hire under said copyright laws, you hereby assign to Xx Inc. or its clients all rights, titles, and interest in such work and to execute whatever assignment of copyright or other documents whatsoever as may be required or appropriate to transfer and confirm exclusive title in such work to the copyright therein to Xx Inc..

10. 无需关于所有权单独签署书面协议，一旦签署本协议，您在此向Xx Inc. 授予了Xx Inc. 或其客户构思或首先创作的作品、以及您或您的雇员根据本协议创作的任何材料中的一切权利、所有权和利益，且您同意该材料根据美国版权法仅对于Xx Inc. 或其客户而言是“雇佣产品”。

如果任何此类作品根据上述版权法并不构成雇佣作品，您在此向Xx Inc.或其客户转让此类作品中的一切权利、所有权和利益，并签署可能要求或恰当的版权转让书或其他文件，以向Xx Inc.转让此类作品中的独家所有权和版权并确认此事。

11. Non-Solicitation and Non-Compete: Subcontractors will not directly or indirectly employ or recruit for employment any employee or subcontracted person of 申请人子公司名称 during the term of this Agreement and for one (1) years thereafter without prior written consent of 申请人子公司名称 . In the event an employee or subcontracted person is hired without prior written consent, during the time specified, subcontractor will pay 申请人子公司名称 an amount equal to 40% of the gross yearly wages of the employee or subcontracted person as liquidated damages, not as a penalty.

Subcontractor agrees that during the term of this Agreement and for one (1) years thereafter, Subcontractor will not directly or indirectly solicit any current or prospective customers for the purposes of establishing any business relationship to provide services contemplated by this Agreement. Further, during the term of this Agreement and for one (1) years thereafter Subcontractor will not establish a business directly competitive with 申请人子公司名称 , which includes businesses in the field of transcription, within territory services by 申请人子公司名称 .

11. 不招揽且不竞争：分包商在本协议期间及其后一（1）年，未经中国驻美国的子公司的事先书面同意，将不会直接或间接雇佣或招募中国驻美国的子公司的任何雇员或分包人员。若未经事先书面同意，在指定期限内雇佣了某位雇员或分包人员，则分包商将向中国驻美国的子公司支付一笔金额，其等于该雇员或分包人员年薪总额的40%，以作为违约赔偿金，而非罚金。

分包商同意，在本协议期间及其后一（1）年期间，分包商不会为了建立任何业务关系提供本协议指定的服务，而直接或间接招揽任何当前或潜在的客户。此外，在本协议期间及其后一（1）年期间，分包商不会在中国驻美国的子公司服务的区域内建立与中国驻美国的子公司直接竞争的企业，其包括转录领域内的企业。

12. This agreement may be terminated by either party with or without cause and for any or no reason upon thirty (30) days written notice to the other party. This agreement may be terminated by either party for cause upon three (3) days written notice by the other party. Cause for termination includes, but is not limited to, violation of the covenant not to compete, violation of the confidentiality clause, any other material breach of this Agreement, or if your work product is below the standard relative to the normal quality of work performed by Xx Inc.

12. 任意一方可以在有正当理由或无正当理由的情况下，且无论是否有原因，通过向对方发出提前三十（30）天的书面通知终止本协议。任意一方可以通过提前三（3）天向对方发出书面通知因正当理由终止本协议。终止的正当理由包括但不限于违反不竞争承诺、违反保密条款、对本协议的任何其他重大违反，或工作成果低于Xx Inc. 履行工作的正常质量标准。

 13. Assignment and Subcontracting: Subcontractor shall not assign any right or interest under this agreement or delegate or subcontract any work or other obligation to be performed or owed under this agreement without the prior written consent of Company.

13. 转让和分包：未经公司事先书面同意，分包商不应转让本协议规定的任何权利或利益，或是委派或分包根据本协议须履行或承担的任何工作或其他义务。

14. Benefits: Company does not offer benefits of any kind to the Subcontractor.

14. 福利：公司并不向分包商提供任何类型的福利。

15. Insurance: During the term of this Agreement, Subcontractor shall be solely responsible for maintaining adequate health, auto, workers' compensation, unemployment compensation, disability, liability, commercial liability, automobile and any other type of insurance, as is required by law or as is the common practice in the industry. Subcontractor agrees to indemnify and hold 申请人子公司名称 harmless against any claims relating to Subcontractor’s failure to provide such insurance. 

15. 保险：在本协议期间，分包商应独自负责维持适当的健康、汽车、工人赔偿、失业赔偿、残疾、责任、商业责任、机动车保险、及法律或行业普通惯例要求的任何其他类型的保险。分包商同意赔偿 申请人子公司名称 ，使其免于承担与分包商未能提供此类保险相关的任何索赔。

 16. Notice: All notices required or permitted to be given hereunder shall be deemed duly given if in writing and either sent by e-mail, facsimile transmission or hand delivered or deposited with an express courier service prepaid addressed to Subcontractor or Hung Ern Toh, as the case may be, at the address set forth below, or to such other address as the parties may direct by notice as herein provided.

16. 通知：根据本协议要求或允许发出的所有通知若是书面的，并通过电子邮件、传真发送、专人递交或邮资预付的快递服务，发送到分包商或Hung Ern Toh（视情况而定）的下列地址、或各方可能按照本协议的规定通知的其他地址，则应被视为正式发出。

17. Signatures: Both the Company and the Subcontractor agree to the above
contract.
