个人账户服务协议
Personal Account Service Agreement for Outgoing Remittance (“Agreement”) is executed by the following parties in ____________ (city), (province), China .
下列双方在中国_______ 省 _____ 市签署个人账户服务协议（协议）。

Party A：____________, a Chinese Citizenship (ID/Passport No._____________)
甲方：_______________, 中国公民（身份证/护照号______________________）

Party B：Beijing Overseas CRED Culture Center， LP, a Limited partnership registered in Beijing China (Registration No. 91110108MA005WQR86）
乙方：B文化交流中心（有限合伙），中国北京注册的有限合伙企业

1. Party A is an individual person, by relevant laws and regulations of China, who intends to make an investment in the United States.
甲方根据中国相关法律是个人，计划在美国进行投资。
2. Party B is a Limited Partnership registered under the relevant laws of China, that, through its corporate affiliation, provides individual account services to individuals for the purpose of investing in the US under the Agreement .
乙方是根据中国相关法律登记的合伙企业，根据此协议，通过其关联公司，为个人在美国进行投资提供个人账户服务,。
3. Party A authorizes Party B, under terms of this Agreement, to provide outgoing remittance account services for purpose of investment to the United States under the Agreement.
为了实现本协议所述在美国投资的目的，甲方授权乙方根据此协议提供账户汇出服务。
4. Party A plans to invest $500,000 into CRED FUND, L.P., a Limited Partnership registered in State of Texas (CRED Fund) to apply for EB-5 investor immigration under Dream of Texas Regional Center, an USCIS-approved regional center, Party B agrees that after Party B receives funds in RMB of the amount under the terms of this Agreement, according the currency exchange rate on the date specified below, Party B shall deposit funds in US Dollar in the amount specified in 5（e）of the Agreement , to Party A at his/her designated personal account, through Party B’s wholly owned subsidiary in the United States, Asian Culture Fund CO. a company incorporated in accordance with the laws of State of Texas (File Number:802386998, as service rendered under this Agreement.
甲方计划投资50万美金到一家D注册的有限合伙公司，，LP 公司（）， 通过美国移民局批准的区域中心----Z区域中心（DOTRC））的EB5投资移民项目申请投资移民，乙方同意在其收到甲方在本协议所述数额的人民币后，根据本协议确定的换汇日期和汇率，将通过其在美国的全资子公司 A（乙方子公司注册登记码 ： ）给甲方指定的个人账户存入本协议5（d）确定的美元数额，做为乙方为甲方提供的服务。

5. With regard to Outgoing Remittance Service under this Agreement, Party A and Party B hereby agrees that:
根据本协议的资金汇出服务，甲方和乙方同意：
a. Party A shall pay a service fee to Party B’s Subsidiary at a rate of 1% of the desired amount in US Dollars for service rendered in this Agreement( ).
甲方同意给乙方关联公司转款数额1%的金额（美元），做为乙
方提供转款服务的费用（ )；

6. Within 5 days after Party A received the fund of the Target Amount mentioned in 5(e) in the designated account in 5(f) mentioned in the Agreement, Party A shall wire the fund into CRED Fund’s EB-5 escrow account. After receiving the deposit of $500,000 to CRED Fund’s EB-5 escrow account from Party A, the obligations for both Parties under the Agreement are assumed fully performed.
甲方在上述第5（f）条所述账户收到5(e)里所述金额后的5日内将该资金电汇到CRED FUND公司的EB-5监管投资账户中。在CRED Fund的EB-5 监管账户收到甲方的50万美金存款后，本协议约定的双方义务即视为完全履行完毕。

7. This Agreement shall become effective upon and from the date of execution of the Agreement by both parties．
本协议由双方签署后生效。

8. This agreement shall be written in both English and Chinese languages. If there is any conflict, the English language shall prevail.
本协议为中、英文两种语言。如有冲突，以英文本为主。
