本《合作框架协议》（下称“本协议”）由以下双方于2017 年月 日在北京市签署。
This “X of Cooperation Between Company A and X Consultants Co., Ltd.” (hereinafter abbreviated as the “X”) is concluded and signed between the following two sides on ____________, 2017 (MM/DD/YY).

按照中美首脑会谈关于加大中美投资与能源方面的合作，特别是 在中美能源与环境的合 作所涉及的技术、液化天然气资源以及金融资 本进入基础设施投资领域的要求 ，结合“一带一路”国家发展战略，甲、乙双方在深度沟通基础上，本着精诚合作、平等互利、谋求共同发展的原则，结成战略合作关系，双方为此订立协议如下：
According to the meeting between the US President and the President of China on intensifying cooperation between the US and China on investment and energy, which especially emphasizes on introducing the technology, liquid natural gas resources and financial capitals involved in the Sino-US energy and environment cooperation to the field of infrastructure investment, and in response to the “Belt & Road” initiative, Party A and Party B (individually the Party and collectively the Parties) have formed a strategic partnership based on in-depth negotiation, principles of sincere cooperation, equality, mutual benefits and win-win development. Thus, this X is made and entered into between the Parties:

第一条 合作宗旨 Article 1 Purpose of cooperation
1.1本协议各方在遵守国家相关法律法规的前提下，遵守“互惠互利、平等诚信”原则，以建立长期、战略性的业务合作关系和促进各方业务的共同发展为目的。
1.2 本协议各方达成合作关系后，应积极为合作创造各种有利条件，落实本协议内容。
1.1 This X requires the Parties to adhere to national laws and regulations and adhere to principles of “mutual benefits, equation and honesty”. Under the prerequisite, it aims at building a long-term strategic partnership and promoting joint business development of the Parties.
1.2 After formation of the partnership following signing of this X, the Parties shall create favorable conditions for the bilateral cooperation and effectively perform their obligations under this X.

第二条 合作内容 Article 2 Scope of cooperation
2.1 各方应发挥各自优势，在中美能源与环境合作所涉及的技术、液化天然气资源、管理运营以及金融资本进入基础设施投资领域等方面开展合作；
2.2 根据国家和行业需要，甲方 在投资、合作、咨询等方面 提出明确的要求，并委托 乙方 在美国 寻找 投资与合作优秀标的；
2.3 甲、乙双方采用共同组建基金，开展投资并购；
2.4 甲方委托乙方建立驻美合作工作办公室，引进、对接美国相关领域高端资源，定期沟通信息，举办中美燃气合作论坛，拓展中美双边市场；
2.5 乙方为甲方在美寻找能源方面项目，特别是LNG项目，并协助甲方并购；
2.6 乙方为甲方在美寻找燃气运营公司标的，并协助甲方合作或并购；
2.7 乙方协助甲方开拓北美燃气管网建设市场、争取在美燃气管网建设项目的投资标的；
2.8 乙方帮助甲方引进美国燃气方面的先进技术；
2.9 乙方帮助甲方引进战略投资者，支持国有企业混改，推进甲方国际化进程；
2.10 乙方为甲方就能源、环保及其他相关业务在美国的拓展及投资合作提供咨询服务。
2.1 The Parties shall give full play to their respective advantages, and expand their cooperation concerning technology, liquid natural gas resources, management and cooperation involved in the Sino-US energy and environment cooperation, and in terms of financial capitals entering the field of infrastructure investment;
2.2 Party A shall clarify its requirements in terms of investment, cooperation and consulting according to natural and industrial development requirements, and entrust Party B to seek outstanding targets in the US for investment and cooperation.
2.3 Party A and Party B shall jointly build a fund for merger and acquisition.
2.4 Party A entrusts Party B to build a US-based cooperation office for the convenience of introducing high-end resources from relevant fields of the US, for periodical information exchange, for holding of the Sino-US Fuel Gas Cooperation Forum, and finally for expanding the bilateral markets.
2.5 Party B shall search energy projects in the US for Party B, especially liquid natural gas projects, and assist Party A in merger and acquisition.
2.6 Party B shall search the fuel gas businesses in the US, and assist Party A in merger and acquisition.
2.7 Party B shall help Party A expand the North American fuel gas pipe network construction market, and strive to find out relevant investment projects for Party A.
2.8 Party B shall help Party A introduce advanced fuel gas technologies from the US.
2.9 Party B shall help Party A introduce strategic investors to support mixed-ownership restructuring of the SOE and promote Party A’s internationalization.
2.10 Party B shall provide consulting services for Party A in terms of expanding and investing in energy and environment projects as well as in other relevant projects in the US.

第三条 费用支付 Article 3 Payment
甲方应为乙方提供的服务支付报酬。具体支付金额和方式由甲、乙双方就具体合作项目另行签订协议约定。
Party A shall pay Party B for its services provided under this X. The specific axnt and payment term shall be negotiated by the Parties and agreed elsewise in a supplementary agreement.

第四条 甲方的权利和义务 Article 4 Rights and obligations of Party A
4.1根据自身业务需要，及时委托乙方提供服务，方式包括但不限于口头或书面的通知、会议纪要等；
4.2在向乙方支付相关服务费用后，有权要求乙方出具等额、合法、有效的发票；
4.3获得签署本协议以及履行本协议义务所必须的授权和批准；
4.4指定专业人员配合乙方开展工作；
4.5对乙方的专业意见、建议及方案，尤其是各项分析资料等负有保密义务。
4.1 Party A shall immediately entrust Party B to provision of relevant services according to their development needs, and the entrustment can be made in the form of, including but not limited to, oral or written notice, minutes, etc.
4.2 After paying Party B relevant service fees, Party A has the right to ask Party B to issue a valid, legitimate invoice bearing the equivalent axnt.
4.3 Party A shall authorize relevant personnel to sign this X and perform obligations under this X.
4.4 Party A shall designate professionals to cooperate with Party B to fulfil relevant tasks;
4.5 Party A shall keep professional opinions, suggestions and plans, especially various analysis materials, of Party B in strict confidentiality.

第五条 乙方的权利和义务 Article 5 Rights and obligations of Party B
5.1根据甲、乙双方的约定获得甲方支付的服务费用；
5.2诚实信用地履行职责，维护甲方的合法权益；
5.3全面、真实、完整地向甲方提供有关的文件资料，如实向甲方披露相关事实；
5.4乙方及其工作人员对在履行职责过程中知晓的甲方商业秘密负有保密义务；
5.1 Party B can charge Party A for service fees agreed under this X.
5.2 Party B shall honestly perform its obligations, and maintain legitimate rights and interests of Party A.
5.3 Party B shall comprehensively, authentically and completely provide relevant materials for Party A, and disclose relevant facts to Party A.
5.4 Party B and its personnel shall keep the business secrets of Party A learned during their performance of obligations under this X in strict confidentiality.

第六条 协议期限 Article 6 Term of this X
本协议有效期为五年，自本协议签署之日起生效，合同期满前甲、乙双方同意延期的，由甲、乙双方另行签订书面协议。
This X lasts for five years, commencing from the signing date. Before expiration of the term, if the Parties agree to renew this X, another written agreement shall be signed between Party A and Party B.
第七条 协议的变更和解除 Article 7 Alteration and cancellation of this X
7.1经双方协商一致，可以以书面形式变更或者解除本协议；
7.2乙方严重违反本协议，损害甲方利益的，甲方有权单方以书面方式通知乙方解除本协议而无需承担任何法律责任；
7.3甲方严重违反本协议或本协议承诺不实，损害乙方利益，乙方有权单方以书面方式通知甲方解除本协议而无需承担任何法律责任；
7.4任何一方解除协议应在三十日前通知对方。
7.1 Based on bilateral negotiation, this X can be altered or canceled in the written form.
7.2 Provided that Party B seriously goes against this X, damaging interests of Party A, Party A has the right to unilaterally send a written notice to Party B to cancel this X without undertaking any liabilities.
7.3 Provided that Party A seriously goes against this X or makes falsified commitments to this Agreement, thus damaging interests of Party B, Party B has the right to unilaterally send a written notice to Party B to cancel this X without undertaking any liabilities.
7.4 Either Party, attempting to cancel this X, shall give a notice to the other Party 30 (thirty) days in advance.

第八条 不可抗力和责任免除 Article 8 Force majeure and exclusion of liabilities
如发生下述情形之一，则任何一方有权书面通知另一方解除本协议而不必承担任何法律责任：
8.1发生不可预料且不能为任何一方控制的不可抗力事件而致使任何一方或双方无法履行其在本协议项下的义务；
8.2国家法律环境发生重大变化以至严重影响任何一方或双方在本协议项下的收益或利益，且届时双方未能就如何解决这一问题达成一致。
Under any of the following circumstances, either Party has the right to send a written notice to other Party to cancel this X without assuming any liabilities:
8.1 If force majeure, which is unpredictable and uncontrollable by either Party, happens, impeding from either Party or the Parties from performing obligations under this X;
8.2 If the national legal environment is dramatically changed to seriously influence earnings or interests of either Party or the Parties, and the Parties fail to reach an agreement on settling the change.

第九条 其他 Article 9 Others
9.1本协议经甲、乙双方法定代表人或授权代表签署并加盖单位公章后生效；
9.2本协议一式肆份，甲、乙双方各执贰份。未尽事宜，由甲、乙双方以签订补充协议的形式另行约定。

9.1 This X comes into effect after being signed and chopped with the official seal by the legal person or authorized representative of the Parties;
9.2 This X is in quadruplicate, and each Party holds two copies. Matters not mentioned in this X shall be negotiated between the Parties with a supplementary agreement signed therefor.
