经双方友好协商，就甲方的网络游戏产品由乙方进行代理推广，达成如下协议：
一、产品内容
甲方将提供给乙方其独立研发的网络游戏产品，乙方有权根据约定对该产品进行代理推广和销售。具体产品内容包括但不限于游戏名称、玩法特点、画面设计等。
1. Product Content
Party A will provide Party B with its independently developed online game products, and Party B has the right to promote and sell the product on behalf of Party A according to the agreement. The specific product content includes but is not limited to the game name, gameplay features, and graphics design.
二、代理范围
乙方可以在约定的区域内进行甲方网络游戏产品的推广和销售活动，但不得超出约定范围。乙方应当积极推广甲方的网络游戏产品，提高产品知名度和市场占有率。
2. Agency Scope
Party B may promote and sell Party A's online game products within the agreed area, but not beyond the agreed scope. Party B should actively promote Party A's online game products, enhance product visibility and market share.
三、权利与义务
1. 甲方的权利与义务：
（1）提供网络游戏产品的最新版本和更新内容，并保证产品的正常运行和稳定性；
（2）提供必要的技术支持和培训服务，帮助乙方更好地了解产品；
（3）保护知识产权，防止产品被非法复制和传播；
（4）按约定支付代理费等费用。
3. Rights and Obligations
1. Rights and obligations of Party A:
(1) Provide the latest version and updates of online game products, and ensure the normal operation and stability of the product;
(2) Provide necessary technical support and training services to help Party B better understand the product;
(3) Protect intellectual property rights and prevent the product from being illegally copied and disseminated;
(4) Pay agency fees and other expenses as agreed.
2. 乙方的权利与义务：
（1）全力推广和销售甲方的网络游戏产品，尽最大努力提高产品销售额；
（2）严格遵守甲方的管理规定和市场政策，维护甲方的品牌形象；
（3）定期向甲方提供销售和推广数据报告，共同分析并改进推广策略；
（4）按约定支付代理费等费用。
2. Rights and obligations of Party B:
(1) Make every effort to promote and sell Party A's online game products, and maximize efforts to increase product sales;
(2) Strictly abide by Party A's management regulations and market policies, and maintain Party A's brand image;
(3) Regularly provide sales and promotion data reports to Party A, analyze and improve promotion strategies together;
(4) Pay agency fees and other expenses as agreed.
四、保密条款
双方在合作过程中可能会涉及到商业机密和技术秘密，双方应当保密合作期间获知的任何机密信息，未经对方同意不得向第三方透露。
4. Confidentiality Clause
During the cooperation process, both parties may be involved in business secrets and technical secrets. Both parties shall keep confidential any confidential information learned during the cooperation period and shall not disclose it to third parties without the other party's consent.
五、合作期限
本合作协议自双方签署之日起生效，有效期为（具体时间），届满后如双方未提前终止合作，则自动延续。
5. Cooperation Period
This cooperation agreement shall come into effect from the date of signature by both parties and shall be valid for a specific period of time. If the cooperation is not terminated by both parties in advance upon expiration, it shall be automatically renewed.
六、违约责任
任何一方违反本合作协议的规定，造成损失的，应负相应的违约责任。违约方应赔偿守约方因此遭受的损失，并承担相应的法律责任。
6. Breach of Contract Liability
If either party violates the provisions of this cooperation agreement, resulting in losses, it shall bear the corresponding breach of contract liability. The breaching party shall compensate the non-breaching party for the losses suffered as a result and assume corresponding legal responsibilities.
七、其他条款
1. 本合作协议未尽事宜，双方可另行协商确定，签订书面补充协议；
2. 本合作协议一式两份，甲方和乙方各执一份，具有同等法律效力；
3. 本合作协议自双方签字盖章之日起生效。
7. Other Terms
1. Matters not covered by this cooperation agreement may be negotiated and determined by both parties separately, and a written supplementary agreement shall be signed;
2. This cooperation agreement is made in duplicate, with Party A and Party B holding one copy each, having equal legal effect;
3. This cooperation agreement shall come into effect from the date of signature and seal by both parties.

V. Cooperation Period
This cooperation agreement shall come into effect upon the signature by both parties and shall be valid for a specific period of time. If the cooperation is not terminated by both parties upon expiration, it shall be automatically renewed.
